Hashtag Avocats, a law firm based in Paris, offers legal expertise in trade secret protection. We help you secure your confidential and strategic information. Our lawyers are trained to support each company with the confidentiality challenges raised by increasing competition.

Why is trade secret protection necessary?

In an environment where competition and cybercrime risks are growing, companies must protect their confidential information. A trade secret is any information that has economic value because it is confidential.

  • Technical and industrial know-how
  • Commercial strategies
  • Research and development data
  • Customer and supplier lists

This information, essential to a company’s business and competitiveness, must be protected to prevent its disclosure or unauthorised use by competitors.

What is a trade secret under French law?

A trade secret (secret des affaires) is defined by Article L. 151-1 of the French Commercial Code (Code de commerce) (in French), introduced by Law No. 2018-670 of 30 July 2018. It protects any information that is:

  • Not generally known or readily accessible.
  • Of commercial value because it is confidential.
  • Subject to reasonable protective measures to keep it confidential.

Information protected as a trade secret is not limited to patents or trade marks, but includes any strategic or technical element, such as formulas, industrial processes or customer files. Companies must therefore put internal measures in place to secure this information, in particular through non-disclosure agreements, security procedures and specific training for employees.

What does a trade secrets lawyer do?

A trade secrets lawyer plays a key role in supporting companies with confidentiality issues and the protection of strategic information. The lawyers at Hashtag Avocats act at several levels to:

  • Audit existing protective measures: we review the legal and organisational protection arrangements in place to identify points of concern and make suitable recommendations.
  • Draft and negotiate non-disclosure agreements (NDAs): we prepare contracts that precisely govern the protection of information shared with partners, subcontractors or employees.
  • Set up compliance procedures: we help establish protocols that govern access to confidential information and minimise the risk of accidental disclosure.
  • Assist in trade secret disputes: in the event of a breach of confidentiality, we act quickly to protect your interests, for example through applications for injunctions, claims for damages or seizure procedures.

When should you call on a trade secrets lawyer?

  • Strategic collaborations or partnerships: when negotiating commercial contracts, the information exchanged with partners must be protected.
  • Commercial disputes: if a competitor unlawfully obtains and uses confidential information, a lawyer can assist you in preparing and conducting litigation.
  • Reasonable protective measures: the law only protects information if its holder has taken reasonable protective measures; putting them in place and documenting them is a condition for being able to take action in the event of misappropriation.
  • Mergers and acquisitions: in major business transactions, assessing and protecting strategic information is essential to secure the deal.

Our lawyers, who practise business law, put their know-how at the service of your specific needs. We maintain strict confidentiality in all our work and see to it that every protection procedure complies with French and European regulations.

How can a trade secrets lawyer assist you?

Support from a trade secrets lawyer at Hashtag Avocats goes well beyond simple legal assistance.

  • Risk assessment: an analysis of the legal side of internal security policies, carried out with your technical experts, covering the management of access and sensitive documents.
  • Drafting confidentiality policies: we create internal protocols that govern how your staff and partners handle sensitive information.
  • Staff training and awareness: our training sessions are designed so that every member of your team understands the confidentiality issues and knows good practice.
  • Legal defence in the event of a dispute: if your confidential information is compromised, our team takes the steps needed to secure evidence, bring legal proceedings and defend your rights before the competent courts.

Our lawyers take a proactive approach to anticipate potential threats and prepare action plans in case of incidents.

Trade secret case law and legal developments in France

Case law on trade secrets is constantly evolving, which affects how companies must protect their information. At Hashtag Avocats, we carry out ongoing legal monitoring to give our clients up-to-date advice in line with recent court decisions.

Court decisions shape strategies for protecting information, in particular as regards:

  • Seizure of documents in legal proceedings: when documents are requested by ex parte application under Article 145 of the French Code of Civil Procedure (Code de procédure civile), the judge may, on their own initiative, order them to be placed under provisional sequestration (séquestre provisoire) to protect trade secrets (Article R. 153-1 of the Commercial Code).
  • Adversarial principle and confidentiality: Article L. 153-1 of the Commercial Code allows the judge to examine a document alone, to restrict its disclosure or to hold the hearing in chambers (chambre du conseil), without prejudice to the rights of the defence.

Our firm uses these developments to refine the trade secret protection strategies of our clients, taking account of the latest judicial interpretations and adapting arrangements to current requirements.

Trade secret misappropriation and breaches of confidentiality

Breaches of confidentiality and the unlawful appropriation of information pose a direct threat to trade secrets. Our lawyers act to:

  • Assess risks and identify signs of misappropriation: we analyse the available evidence to identify the sources of leaks and potential breaches.
  • Take action in the event of misappropriation: we apply, by ex parte application or in summary proceedings (référé), for the provisional and protective measures provided for by Article R. 152-1 of the Commercial Code, such as a prohibition on using or disclosing the secret and the seizure of goods resulting from the misappropriation.
  • Claim compensation: our firm takes steps to obtain damages to compensate for the harm suffered.
